Freshfields advises Uber on proposed acquisition of Delivery Hero
Global law firm Freshfields is advising Uber Technologies, Inc. (NYSE: UBER) on entering into a business combination agreement with Delivery Hero (Xetra: DHER) and the announcement of a voluntary tender offer for all outstanding shares of Delivery Hero at an equity value of $14.8bn. The transaction would extend the world’s largest mobility and delivery platform to a total of 99 markets, with combined pro-forma gross bookings of $236bn in 2025. Delivery Hero has separately entered into an agreement with SSW Partners for the acquisition of its business in 14 markets for a consideration of approximately $1.6bn, subject to completion of Uber’s takeover offer and other customary conditions.
