About
Saud is an Associate in our Global M&A and Capital practice, based in Riyadh, Saudi Arabia. He is a licensed lawyer in the Kingdom of Saudi Arabia and is fluent in Arabic and English.
His practice focuses on capital markets, M&A, antitrust and merger control, as well as corporate transactions. He has particular experience in IPOs, Capital Market Institutions ( CMIs) licensing and regulatory matters, joint ventures, corporate conversions, and the incorporation of Saudi and foreign entities, advising Saudi, GCC, and international clients on a range of complex transactional matters.
Prior to joining Freshfields, Saud trained at Clyde & Co, where he worked as a Trainee Associate in the Corporate team in Riyadh.
Saud holds a Bachelor of Laws (LLB) from Prince Sultan University.
Saud’s experience includes advising:
- PIF on a landmark joint venture for the purposes of developing, building and operating one of the largest aluminum production plants in the world;
- United International Holding Company on its IPO of 30% of the issued share capital and the related listing of the shares on the Main Market of Saudi Arabia’s stock exchange (Tadawul) ;
- Sumitomo Chemical Company on Petro Rabigh's first-of-its-kind SAR 5.26 billion capital increase through the issuance of Class B non-voting shares and the introduction of a dual-class share structure in Saudi Arabia;
- Groupe Lactalis S.A. on its $3.3 billion acquisition of Fonterra Co-operative Group Limited with its global operations;
- Solutions by STC on its joint venture with Nile Global Inc., focusing on identifying opportunities for innovation and enhancing offerings to end customers;
- A major infrastructure materials manufacturing company on its proposed IPO by capital raise on the Main Market of Saudi Arabia’s stock exchange (Tadawul) ;
- A real estate development company on its proposed IPO in the Saudi Parallel Market (Nomu);
- A food and beverage company on its proposed IPO of 30% of the issued share capital on the Main Market of Saudi Arabia's stock exchange (Tadawul);
- A human resources company on its proposed IPO of 30% of the issued share capital on the Main Market of Saudi Arabia’s stock exchange (Tadawul);
- A manufacturing issuer on its proposed IPO of 30% of the issued share capital on the Main Market of Saudi Arabia’s stock exchange (Tadawul);
- Advised a leading insurance company in Saudi Arabia on the potential acquisition of a major vehicle repair company;
- A MENA-based provider of education, social care, and healthcare on its proposed joint venture with a SWF for the development and roll out of special educational needs schools in the KSA;
- A Family-Owned Holding Company, one of the largest investment holdings in Saudi Arabia, on its joint venture with a specialized maintenance and repair company of mobile offshore units and maritime assets;
- A Danish-based integrated logistics company on its acquisition of a minority stake in a GCC based port operations company;
- Advised a leading telecommunications company on the comprehensive review, updating, and drafting of its full suite of group policies;
- Arabian Contracting Services Company (Al Arabia) on its SAR 1.05bn acquisition of Faden Media Group; *
- Advising a Recycling company on an acquisition of a stake in another company that operates in the same field; *
- Advising and assisting a company in the construction field for its vendor due diligence in preparation for the sale of the whole entity; *
- Advising a company in the F&B sector on the full corporate restructuring of the company; and *
- Advising a company in the media and film sector in their film funding agreements and conducting a legal due diligence. *
